Taylor M. Vernon


Taylor M. Vernon is an Associate in our Franchise & Distribution and Corporate Practice Groups. He represents clients in all aspects of business growth, including franchising, distribution and licensing; as well as mergers and acquisitions, corporate structuring, commercial transactions, entertainment contracts and real estate.

In representing franchisors, Mr. Vernon’s experience includes creating franchisor disclosure documents (FDDs), franchise agreements and area development agreements, and federal, state and international registration and compliance matters. He is also experienced in negotiating key ancillary documents pertaining to purchase agreements, management service agreements, and employment agreements.

Mr. Vernon works with franchisees in reviewing loan documents, franchise agreements and FDDs; and in negotiating commercial real estate and equipment leases. 

His corporate practice includes a wide variety of business experience, encompassing both national and international transactions and compliance in mergers and acquisitions, intellectual property license agreements, non-compete and non-circumvent agreements, supplier contracts, terms of use agreements, service agreements and financing documents.

Prior to joining Lewitt Hackman, Mr. Vernon worked at a franchise, compliance and corporate boutique law firm, and in the franchise and corporate sections of a national law firm. Earning his Juris Doctor from the University of California Los Angeles School of Law in 2011, Mr. Vernon served as Senior Articles Editor for the UCLA Entertainment Law Review. He was active with the UCLA International Justice Clinic Sierra Leone research team. He served as a Board Member and Event Chair for UCLA’s Public Interest Law Fund, and Clinic Chair for General Relief Advocacy Project. Mr. Vernon earned a Bachelor of Arts degree in History from the University of Texas in 2005.

He is active as the Co-Chair of Publications for the Franchise Law Committee in the California Lawyers Association (formerly of the state bar of California) and a member of the American Bar Association Forum on Franchising, the Los Angeles County and San Fernando Valley Bar Associations.
